One Person Company (OPC) registration: process and documents

2 min read

A One Person Company is registered through the same SPICe+ form as any other company. The main difference is a nominee: a second person who will take over the company if the sole member dies or becomes incapacitated. Here is the full process.

Who can register an OPC

  • The member must be a natural person and an Indian citizen. They can be resident or non-resident in India.
  • The nominee must also be a natural person and an Indian citizen.
  • A person can be a member of only one OPC, and a nominee in only one OPC.
  • A minor cannot be a member or nominee.

The company's name must include "(OPC) Private Limited", for example "Brightleaf Studio (OPC) Private Limited".

Step-by-step process

  1. 1.Get a DSC for the member (and for any other director).
  2. 2.Reserve the name through SPICe+ Part A. See company name rules.
  3. 3.Get the nominee's written consent in INC-3, with their PAN and address proof.
  4. 4.Prepare the MOA and AOA, DIR-2 for the director, and registered office proof with an NOC.
  5. 5.File SPICe+ Part B with e-MOA, e-AOA, AGILE-PRO-S and INC-9.
  6. 6.Receive the Certificate of Incorporation with PAN and TAN.

The nominee's name is also written into the MOA. Changing the nominee later needs INC-4 and an amended MOA.

Compliance after registration

An OPC has lighter compliance than a private limited company, but not none:

  • At least one board meeting in each half of the calendar year, with a gap of at least 90 days. If there is only one director, a board meeting is not needed and resolutions are entered in the minutes book.
  • No annual general meeting.
  • Audited financial statements (without a cash flow statement), filed in AOC-4 within 180 days of the financial year end.
  • Annual return in MGT-7A.
  • DIR-3 KYC for each director and INC-20A within 180 days of incorporation.
