SPICe+ rejection and resubmission: common reasons and fixes
The Central Registration Centre either approves SPICe+, sends it back for resubmission with remarks, or rejects it. A rejection means starting again with new fees, so it pays to get it right the first time.
Most common reasons
| Problem | Fix |
|---|---|
| Name identical or too similar to an existing company, LLP or trademark | Run a fuller search; use a more distinctive word |
| Activity in the name does not match the object clause | Align name, object clause and NIC code |
| Utility bill older than two months or not matching the address | Use a recent bill with the exact address |
| NOC from someone other than the bill-holder | Get the NOC from the person named on the bill |
| Name mismatch across PAN and Aadhaar | Correct at source or use matching documents |
| Blurred or incomplete scans | Rescan in colour with all edges visible |
| Stamp duty or capital details inconsistent | Recheck state and capital in all forms |
How resubmission works
If the Registrar marks the form for resubmission, you get a window (typically 15 days) to fix the issues and resubmit. Name-related remarks usually allow one resubmission. Missing the window can lead to rejection.
